Terms of Service

These Terms of Service (“Terms”) govern your access to and use of IronSpectra SiteVault (the “Service”), the ironspectra.com website, and any related software, APIs, and plugins (collectively, the “Platform”), all provided by IronSpectra, LLC (“IronSpectra,” “we,” “our,” or “us”).

By creating an account, installing the SiteVault plugin, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Eligibility & Accounts

You must be at least 16 years old and able to form a legally binding contract to use the Platform. You are responsible for all activity under your account, for safeguarding your password and license key, and for the actions of anyone you allow to access your account. Notify us at security@ironspectra.com promptly if you suspect unauthorized access.

2. License Grant

Subject to your compliance with these Terms and (for paid plans) timely payment of all fees, IronSpectra grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the SiteVault plugin on the number of WordPress sites permitted by your subscription tier, solely for your internal business or personal use.

The plugin source code is licensed under the GNU General Public License, Version 2 (GPLv2). Nothing in these Terms restricts the rights granted to you under the GPLv2 with respect to the plugin source code itself. These Terms govern your use of the hosted Service, license keys, paid features, branding, documentation, and ironspectra.com.

3. Subscriptions, Billing & Refunds

  • Plans. The Service is offered on a free tier and on paid subscription tiers (Pro, Premium, Enterprise) billed monthly or annually in advance.
  • Auto-renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled before renewal.
  • Payment processor. Payments are processed by Stripe, Inc. By submitting payment information you authorize us, through Stripe, to charge the payment method on file for all fees due.
  • Taxes. Listed fees are exclusive of applicable taxes, which you are responsible for paying.
  • 14-day money-back guarantee. If you are not satisfied with a paid plan, request a full refund within 14 days of the initial purchase by emailing billing@ironspectra.com. The guarantee applies to your first paid subscription only and does not apply to renewals, plan changes, or Enterprise contracts.
  • Failed payment. If a charge fails, we may suspend paid features after retry. Your license keys remain valid for the billing period that was paid in full.
  • Price changes.We may change prices on at least 30 days’ notice; changes apply to the next renewal cycle.

4. Acceptable Use

You agree not to:

  • Use the Platform to store, transmit, or back up content that violates applicable law, infringes intellectual property rights, or contains malware;
  • Resell, sublicense, or redistribute access to the hosted Service or to license keys;
  • Circumvent license validation, tier limits, or any technical measure controlling access to features;
  • Use the Platform to attack, probe, or attempt to gain unauthorized access to any system or account;
  • Reverse-engineer the hosted Service (other than the GPLv2 plugin source code, which you may freely study, modify, and redistribute under that license);
  • Use automated means to access the Service in a manner that imposes an unreasonable load.

5. Your Data & Backups

You retain all rights to the WordPress content, files, databases, and other materials you back up using the plugin (“Your Data”). Your Data is encrypted on your WordPress server and uploaded to cloud storage you control. We do not access, scan, or process Your Data; we cannot decrypt it.

You are solely responsible for: (a) verifying that backups complete successfully, (b) periodically testing restores, (c) safeguarding the RSA private key generated by the plugin, and (d) the configuration, storage costs, and contents of any cloud storage account you connect.

6. Third-Party Services

The Platform integrates with third-party services including Google Drive, Microsoft OneDrive, Dropbox, Box, Backblaze B2, and Amazon S3 (each a “Third-Party Service”). Your use of any Third-Party Service is governed by that provider’s own terms and privacy policy. IronSpectra is not responsible for the availability, accuracy, or content of Third-Party Services, nor for loss of data caused by them.

7. Service Levels & Availability

The hosted Service (license validation, account portal, billing endpoints) is provided on a commercially reasonable best-effort basis. Enterprise plans may include a separately executed Service Level Agreement. The free tier and paid plans without an SLA are provided without an availability guarantee.

The plugin itself runs on infrastructure you control (your WordPress server, your cloud storage), and its availability is your responsibility.

8. Suspension & Termination

You may cancel a paid subscription at any time from the account portal; cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Platform with or without notice if you (a) materially breach these Terms, (b) fail to pay fees when due, (c) use the Platform in a manner we reasonably believe is unlawful or harmful to other users or to IronSpectra, or (d) if we are required to do so by law. On termination, your right to use the hosted Service ends; the GPLv2 license to the plugin source code survives in accordance with its own terms.

9. Intellectual Property

Except for Your Data and except for the plugin source code (which is licensed under GPLv2), all rights in the Platform — including ironspectra.com, the hosted Service, the “IronSpectra” and “SiteVault” names and logos, and the documentation — are owned by IronSpectra or our licensors. We reserve all rights not expressly granted.

10. Feedback

If you send us feedback, suggestions, or feature requests, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use them without restriction or obligation.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT BACKUPS WILL ALWAYS COMPLETE, RESTORE WITHOUT LOSS, OR BE FREE OF CORRUPTION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONSPECTRA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You will defend, indemnify, and hold harmless IronSpectra and its affiliates from any claim, damage, loss, or expense (including reasonable attorneys’ fees) arising out of (a) Your Data, (b) your use of the Platform in violation of these Terms or applicable law, or (c) your violation of any third party’s rights.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there. Nothing in this section limits either party’s right to seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

15. Changes to the Terms

We may modify these Terms from time to time. We will post the revised Terms here with a new effective date and, for material changes, notify active account holders by email at least 14 days before the change takes effect. Continued use of the Platform after the effective date constitutes acceptance.

16. General

  • Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and IronSpectra regarding the Platform.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
  • No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
